Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of IteroChat: our website at iterochat.com, the IteroChat dashboard, and the chat widget (together, the “Service”), provided by Iterosys (“Iterosys”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. Definitions

  • Customer (“you”): the person or organization that registers for and uses the Service.
  • End user: a visitor who interacts with a chat widget you have placed on your website or app.
  • Customer Content: the knowledge base material, instructions, settings, and other content you provide, and the conversation data collected through your widget.

2. Accounts and eligibility

You must provide accurate information when you register and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must be old enough to form a binding contract to use the Service.

3. The Service

IteroChat provides AI-assisted customer support: the AI answers questions using the knowledge base and settings you configure, and hands conversations to your human agents when appropriate. We may update, improve, or change features of the Service over time.

4. Acceptable use

You agree not to, and not to allow others to:

  • Use the Service in violation of any applicable law or regulation.
  • Upload or transmit unlawful, infringing, harmful, harassing, or abusive content.
  • Send unsolicited or unauthorized messages, or use the Service to spam.
  • Attempt to gain unauthorized access to the Service or to other organizations’ data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, copy, or resell the Service except as permitted by law.
  • Use the Service to build a competing product, or use automated means to overload it.

5. Customer Content and responsibilities

You retain ownership of your Customer Content. You grant us a limited license to host, process, and transmit it as needed to provide and improve the Service. You are responsible for your Customer Content and for having the rights and permissions needed to provide it.

Because you decide what data your widget collects from end users, you are responsible for providing any privacy notices and obtaining any consents required by law, and for handling end-user data-subject requests. Our handling of personal information is described in our Privacy Policy.

6. AI-generated responses

The Service uses artificial intelligence to generate replies. AI output can be inaccurate or incomplete and may not suit every situation. You are responsible for reviewing and configuring the Service appropriately, and AI replies do not constitute professional advice. You should not rely on the Service for decisions that require professional, legal, medical, or financial judgment.

7. Plans, fees, and billing

Paid plans, usage limits, and any overage charges are described on our pricing page and in the billing documentation. Fees are billed in advance on a recurring basis unless stated otherwise, are non-refundable except as required by law, and are exclusive of taxes, which you are responsible for. If a payment fails or an account is past due, we may suspend or limit the Service after reasonable notice. We may change our prices on a prospective basis with notice.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by Iterosys and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in the Service except the limited right to use it as permitted here.

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms and will protect it with reasonable care.

10. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, Iterosys will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim.

12. Indemnification

You will defend and indemnify Iterosys against claims, damages, and costs arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

13. Term and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if needed to protect the Service. On termination, your right to use the Service ends; we will make your data available for a reasonable period for export, after which it may be deleted in line with our Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of Bangladesh, without regard to its conflict-of-laws rules. The courts located in Bangladesh will have exclusive jurisdiction over disputes arising out of or relating to these Terms, except where applicable law provides otherwise.
